Terms of Use

1. Introduction

Welcome to Hobbyco Imports (“Hobbyco Imports”, “we”, “us” or “our”).

These Terms of Use govern your access to and use of our website, online content and related services. Hobbyco Imports operates in the wholesale import and distribution sector, supplying products to retailers, resellers, commercial customers and other approved business partners.

By accessing or using our website, you agree to comply with these Terms of Use. If you do not agree with these terms, please discontinue use of our website.

These Terms of Use should be read together with any applicable wholesale trading terms, account agreements, purchase order conditions and our Privacy Policy.

2. About Our Business

Hobbyco Imports supplies imported products to business customers, including retailers, resellers and other authorised commercial purchasers.

Our website may provide information about our products, brands, product availability, wholesale services and business operations.

Unless expressly stated otherwise, information on our website is provided for general business and informational purposes and does not, by itself, constitute a binding offer to sell products.

3. Eligibility and Permitted Use

You may use our website for lawful purposes and in accordance with these Terms of Use.

You agree not to:

Use our website in breach of any applicable law or regulation.
Submit false, misleading or fraudulent information.
Attempt to gain unauthorised access to our website, systems or accounts.
Interfere with the security, functionality or operation of our website.
Introduce malicious software, harmful code or other disruptive material.
Copy, reproduce, distribute or commercially exploit website content without our permission, except where permitted by law.
Use our website in a manner that may damage our business, reputation or relationships with our customers and suppliers.
We reserve the right to restrict or suspend access to our website where reasonably necessary to protect our business, website users or systems.

4. Wholesale Customers and Trade Accounts

Access to wholesale pricing, trade services, product allocations or account facilities may be restricted to approved business customers.

Where we offer wholesale accounts, customers may be required to provide accurate business details and supporting documentation as part of the application process.

You agree to:

Provide accurate and current business and contact information.
Keep account credentials confidential and secure.
Notify us promptly of suspected unauthorised account access.
Use wholesale services for legitimate business purposes.
Comply with any separate credit, payment or trading terms applicable to your account.
We reserve the right to approve, reject, suspend or close a wholesale account where reasonably justified, subject to applicable law and any binding agreement with the customer.

Approval of a wholesale account does not guarantee product availability, continued supply or access to particular pricing.

5. Product Information and Availability

We endeavour to ensure that product descriptions, images, specifications and other information published on our website are accurate and up to date.

However, product information may change from time to time due to manufacturer updates, revised specifications, packaging changes, supplier information or other circumstances beyond our control.

Unless expressly agreed in writing:

Product images are illustrative and may differ from the actual product or packaging.
Product specifications, dimensions, colours and packaging may vary between production runs.
Product availability is subject to stock levels and supplier arrangements.
Estimated restocking and delivery dates are indicative only.
Product listings do not guarantee that an item is available for immediate purchase or supply.
If a material discrepancy arises, we will work with the relevant customer to resolve the issue in accordance with any applicable agreement and Australian law.

6. Pricing and Quotations

Prices displayed or communicated by Hobbyco Imports may be subject to change without notice, except where a binding agreement or applicable law provides otherwise.

Unless expressly stated, wholesale prices may exclude GST, freight, insurance, customs duties, import charges or other applicable costs.

Any quotation provided by us may be subject to specified validity periods, minimum order quantities, stock availability and other conditions set out in the quotation.

A quotation does not constitute an accepted order unless and until acceptance occurs in accordance with the quotation and applicable ordering procedures.

Where a pricing or listing error occurs, we reserve the right to contact the customer to clarify or correct the error before accepting an order, subject to applicable law and any existing contractual obligations.

7. Orders and Acceptance

Wholesale orders may be submitted through approved ordering channels, including email, purchase orders, online systems or other methods agreed between the parties.

Submission of a purchase order or order request does not automatically mean that the order has been accepted.

An order becomes binding when accepted in accordance with the applicable quotation, trading agreement, order confirmation or other agreed ordering process.

We reserve the right to decline or limit an order where reasonably necessary, including where:

Products are unavailable or discontinued.
A minimum order requirement has not been met.
Customer or delivery information is incomplete or inaccurate.
Payment or credit requirements have not been satisfied.
A pricing or product listing error requires clarification.
Fulfilment is restricted by applicable law, sanctions or other legal requirements.
If we cannot fulfil an order that has already been accepted, we will address the matter in accordance with the applicable contract and legal obligations, including any required refund or other remedy.

8. Payment Terms

Payment methods, payment due dates, deposits, credit limits and other financial conditions will be specified in the relevant invoice, quotation, credit agreement or wholesale trading terms.

Customers agree to pay amounts properly due under their applicable agreements.

Where credit facilities are offered, they remain subject to approval and any separate credit terms agreed between Hobbyco Imports and the customer.

If a customer fails to pay an amount when due, we may take lawful steps to recover the outstanding amount and may suspend further supply where permitted by the relevant agreement and applicable law.

Any interest, late payment fees or recovery costs will only be charged where permitted by law and supported by the applicable contractual terms.

9. Shipping, Delivery and Importation

Hobbyco Imports may arrange or coordinate domestic deliveries, international freight, warehousing and related logistics.

Delivery dates and freight estimates are generally indicative unless expressly agreed as binding.

Delivery arrangements, freight charges, insurance, transfer of risk, title to goods and responsibility for import duties or taxes will be governed by the relevant quotation, invoice, supply agreement or agreed delivery terms.

Where international shipping terms apply, the parties should identify the applicable Incoterms® rule and the named place or port in the relevant commercial documents.

Customers are responsible for providing accurate delivery instructions and any information reasonably required to facilitate delivery.

If delays occur due to freight disruptions, customs clearance, supplier delays, transport issues or other circumstances outside our reasonable control, we will communicate material updates where reasonably practicable.

Nothing in these Terms of Use excludes any liability or obligation that cannot lawfully be excluded.

10. Inspection, Damaged Goods and Discrepancies

Customers should inspect delivered products within a reasonable period after receipt and notify us promptly of any apparent shortages, transit damage, incorrect items or discrepancies.

Any notification requirements, supporting evidence and procedures for claims will be governed by the applicable wholesale trading terms and relevant law.

We may request photographs, delivery records, packaging details or other reasonable evidence to investigate a claim.

Nothing in this section removes or limits any rights or remedies available under applicable law, including rights relating to defective or non-conforming goods.

11. Returns, Refunds and Product Claims

Returns, replacements, credits and refunds are subject to the applicable sales agreement, wholesale returns policy and Australian law.

For change-of-mind returns or orders placed in error, acceptance of a return may depend on our agreed trading terms and the circumstances of the request.

Products that are faulty, damaged, incorrectly supplied or otherwise non-conforming will be handled in accordance with the applicable contract and legal requirements.

Where a product is subject to a manufacturer's warranty, we may provide information about the relevant warranty or assist with the claim process. Manufacturer warranties do not replace any mandatory rights or remedies available under Australian law.

Please contact Hobbyco Imports to obtain instructions before returning products.

12. Intellectual Property

Unless otherwise stated, intellectual property rights in our website and its original content, including text, graphics, photographs, logos, designs and other materials, are owned by or licensed to Hobbyco Imports.

Third-party brand names, trademarks, product images and logos remain the property of their respective owners.

You must not reproduce, modify, distribute, publish or commercially exploit our intellectual property without prior written permission, except where permitted by law.

Nothing in these Terms of Use transfers ownership of any intellectual property to you.

Purchasing or reselling products does not automatically grant permission to use our business name, logos, marketing materials or third-party brand assets beyond any applicable authorisation or licence.

13. Confidentiality and Commercial Information

Wholesale pricing, quotations, supplier details, unpublished product information and other commercial material may be confidential or commercially sensitive.

Where such information is provided on a confidential basis, you agree to handle it appropriately and not disclose or use it beyond the authorised business purpose, subject to any separate agreement and applicable law.

This section does not create an obligation to treat information as confidential where it is already lawfully public or where disclosure is required by law.

14. Privacy and Personal Information

We handle personal information in accordance with our Privacy Policy and applicable privacy laws.

Our Privacy Policy explains how we collect, use, store and disclose personal information and how individuals may request access to or correction of their information.

By using our website or providing personal information to us, you acknowledge that you have been given the opportunity to review our Privacy Policy.

15. Third-Party Websites and Services

Our website may contain links to third-party websites, platforms, manufacturers or service providers for convenience or informational purposes.

We do not control all third-party websites and are not responsible for their content, availability or privacy practices.

A link to a third-party website does not necessarily imply endorsement by Hobbyco Imports.

You access third-party websites at your own discretion and should review their applicable terms and policies.

16. Website Availability and Disclaimer

We aim to keep our website accessible and accurate but do not guarantee uninterrupted availability or that all website content will always be free from errors, omissions or technical issues.

To the extent permitted by law, our website and its general informational content are provided on an “as available” basis.

Nothing in this section excludes, restricts or modifies any consumer guarantee, statutory right or other protection that cannot lawfully be excluded or restricted.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Hobbyco Imports will not be liable for indirect or consequential loss arising from the use of our website or reliance on general website information, except to the extent such liability cannot lawfully be excluded.

Any liability arising from the supply of products will be determined by the applicable contract and relevant law.

Where a limitation or exclusion of liability is legally permitted, it will apply only to the extent allowed by law and will not remove any mandatory rights or remedies available to a customer.

Nothing in these Terms of Use excludes liability for matters that cannot lawfully be excluded under Australian law.

18. Force Majeure

To the extent permitted by law and subject to any applicable contract, Hobbyco Imports will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, severe weather, fire, war, civil unrest, industrial action, government restrictions, port congestion, shipping disruptions, epidemics, infrastructure failures or significant supplier interruptions.

Where such circumstances affect an order or supply arrangement, we will take reasonable steps to minimise disruption and communicate material developments to affected customers.

This section does not automatically cancel an existing contract or remove any rights available under applicable law.

19. Suspension and Termination

We may suspend or restrict access to our website where reasonably necessary to address security risks, unlawful activity, misuse or material breaches of these Terms of Use.

Wholesale accounts and supply arrangements may be suspended or terminated in accordance with their applicable contractual terms and the law.

Termination does not remove any payment obligations, accrued rights or other obligations that are intended to continue after termination.

20. Changes to These Terms

We may update these Terms of Use from time to time to reflect changes in our business operations, website functionality or legal obligations.

The latest version will be published on our website with an updated revision date.

Changes to these website terms do not automatically vary an existing wholesale contract. Any variation to an existing agreement will be dealt with in accordance with that agreement and applicable law.

21. Governing Law

These Terms of Use are governed by the laws of New South Wales, Australia, unless another governing law applies under a binding agreement or mandatory legal requirements.

The parties submit to the jurisdiction of the courts of New South Wales and any courts entitled to hear appeals from those courts, subject to applicable law.
